Terms and Conditions

Last updated: 5 June 2024

These Terms and Conditions ("Terms") govern the use of the website and services provided by Xizuho and apply to all clients who engage us for social media management services. By accessing our website or instructing us to provide services, you agree to be bound by these Terms. Please read them carefully before placing an order.

1. Who We Are

Xizuho ("we", "us", "our") is a service provider based in the United Kingdom, specialising in social media management for local businesses.

Any notice, complaint, or query relating to these Terms should be directed to the contact details above.

2. Placing and Confirming an Order

Services may be requested via our website, by email, or by telephone. Once you submit a request for our social media management services, we will review the details and, where appropriate, provide a written proposal or quotation setting out the scope of work.

An order is only considered confirmed once we have issued written confirmation (by email) accepting your instructions and you have accepted the associated quotation, either in writing or by making the required payment. Until such confirmation is issued, no binding contract exists between you and Xizuho.

We reserve the right to decline any order at our discretion, for example where the requested work falls outside our service offering or capacity.

3. Prices, Payment and Inclusions

All prices are quoted in pounds sterling (GBP) and, unless stated otherwise, are exclusive of applicable VAT, which will be added where required by law.

Our standard service packages typically include content planning, scheduling, and posting to agreed social media platforms, as outlined in the specific proposal issued to you. Any services not explicitly listed in the confirmed proposal, such as paid advertising spend, professional photography, or graphic design beyond agreed inclusions, are not covered unless separately agreed in writing.

Payment terms will be specified in your individual proposal or invoice. Unless otherwise agreed, payment is due prior to the commencement of services or on a recurring monthly basis for ongoing management contracts. Late payment may result in suspension of services until outstanding amounts are settled.

4. Cancellation and Complaints

4.1 Cancellation

If you are a consumer contracting with us at a distance (for example, via our website or by phone), you may have a right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, within 14 days of the contract being confirmed, provided we have not already begun performing the service with your express request and acknowledgement that your cancellation right may be lost once performance begins.

For ongoing service arrangements, either party may terminate the agreement by providing written notice as specified in the individual service agreement, typically 30 days unless otherwise agreed.

4.2 Complaints

We aim to deliver a high standard of service. If you are dissatisfied with any aspect of our work, please contact us at [email protected] with details of your concern. We will acknowledge complaints promptly and endeavour to resolve matters fairly and within a reasonable timeframe.

If you remain unsatisfied following our internal complaints process, you may have the right to seek independent advice or pursue alternative dispute resolution options available under UK consumer law.

5. Limitation of Liability

To the fullest extent permitted by law, Xizuho shall not be liable for any indirect, incidental, or consequential loss, including but not limited to loss of profits, loss of business opportunity, or reputational damage arising from the use of our services.

Our total liability arising out of or in connection with any service provided shall not exceed the total fees paid by you for the specific service giving rise to the claim in the preceding three months.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

We do not guarantee specific results, such as follower growth, engagement rates, or sales outcomes, as these depend on factors outside our control, including platform algorithms and audience behaviour.

6. Cookies and Privacy

Our website uses a single cookie, cookie_pref, which stores your cookie consent preference for a period of one year. No analytics, tracking, or session cookies are used on this website.

Advertising measurement tools, where applicable, operate only after you have given consent, and only on the order confirmation page. For further information regarding how we handle personal data, please refer to our separate Privacy Policy.

If you have questions regarding data protection, or wish to exercise your rights under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, you may contact us at [email protected]. You also have the right to lodge a complaint with the Information Commissioner's Office (ICO), the UK's independent supervisory authority for data protection matters.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, save where mandatory consumer protection laws provide otherwise.

8. Changes to These Terms

We reserve the right to amend these Terms from time to time. Any changes will be posted on this page with an updated revision date. Continued use of our website or services after such changes constitutes acceptance of the revised Terms.
